We are looking to add an experienced legal professional to our team to take on a key role as Principal Legal Counsel or Associate Director. Reporting directly to the Executive Vice President and Corporate Secretary, the selected candidate will play a strategic role in overseeing the company’s overall legal affairs, corporate governance, and the development of compliance practices, including sustainability (ESG).

As Principal Legal Counsel / Associate Director, you will be responsible for providing strategic and operational legal leadership, including:

Commercial Law and Contracts

  • Draft, review, and negotiate various commercial agreements (service agreements, commercial leases, customer/supplier contracts, NDAs).
  • Develop and implement a formal contract management framework company‑wide.
  • Establish and oversee an efficient and centralized contract management system.
  • Train internal teams on contractual issues and risk management.

Corporate Law and Governance

  • Support the Executive Vice President and Corporate Secretary in managing corporate affairs, resolutions, and minute books.
  • Contribute to the development and implementation of best practices in governance, compliance, and ethics.
  • Assist teams in interpreting and applying legal, regulatory, and industry requirements.

Litigation and Sensitive Matters

  • Manage pre‑litigation files and act as liaison with external legal counsel.
  • Provide practical, solution‑oriented legal advice to internal teams (operations, HR, finance, IT, engineering, etc.).

Leadership and Collaboration

  • Work closely with internal leadership to support strategic initiatives.
  • Operate in a fast‑paced, multi‑tasking environment while balancing legal rigor, operational efficiency, and business insight.

Compliance, Risk Management, and ESG

  • Play a key role in leading and coordinating the ESG Committee.
  • Integrate sustainability, social responsibility, and governance principles into all operations.
  • Conduct regulatory monitoring on ESG‑related legislation, compliance, transportation, and industrial operations.
  • Participate in professional networks and maintain strategic awareness of ESG and legal best practices.

General skills

Education and Professional Experience

  • Bachelor’s degree in law and member of a Law Society (Bar).
  • A minimum of seven (7) to nine (9) years of relevant experience in commercial law, corporate law, compliance, ESG, or in‑house practice.
  • In‑house legal experience or business‑focused private practice experience is a strong asset.

Hiring Requirements

  • Mandatory bilingualism (English** and French), spoken and written, to ensure effective communication with teams and partners across Canada.
